Code of Ethics Policy

DyCat Solutions Inc is a specialized consulting company that helps energy and resource companies worldwide achieve cost certainty and maximize profitability. We use our unique expertise to minimize risks and we help our clients focus on sustainability targets in a progressively competitive market. We believe that we have an obligation to be fair, transparent, accountable, and responsible in our conduct toward our customers, or employees and contractors and society.


1. VISION AND MISSION
To empower our global customers to optimize profitability through innovative solutions. Together, we drive success, mitigate risks, and foster a sustainable energy future.


2. PURPOSE STATEMENT
Our professional code of ethics policy aims to give our employees and contractors guidelines on our business ethics and stance on various controversial matters. This policy applies to everyone we employ or have business relations with. This includes individual people such as employees, interns, volunteers, but also business entities, such as vendors and customers.

 

3. CORE VALUES
The following are DyCat Solutions core values, which serve as guiding principles for ethical decision-making and behavior.

  • Respect for others

    • We will respect everyone we interact with, by being kind, polite and understanding, and respecting others’ personal space, opinions and privacy

    • We will be respectful of those whose wellbeing may be contingent on our recommendations, decisions, or advice.

  • Integrity and honesty

    • We will conduct our services with honesty, integrity, competence, independence, objectivity, and professionalism.

    • We will be honest and transparent on how we act in ways that impact other people.

  • Confidentiality and Privacy:

    • We will ensure the safeguarding confidential and proprietary information, protecting personal data, and respecting privacy rights.

    • We will respect the confidentiality of our customers and keep customer information and records of engagements confidential.

    • We will use customers proprietary information only with the customers permission.

  • Inclusive Work Environment

    • We will be inclusive of people from all backgrounds, while being considerate, and being professional.

    • We will promote a respectful, inclusive, and diverse work environment, free from discrimination, harassment, and retaliation.

    • We will not permit considerations of race, gender, nationality, religion, politics, sexual orientation, or social status to influence our professional behaviour or advice

  • Competence and accountability

    • We will only accept assignments for which we possess the requisite skills, knowledge, experience and competence to perform.

    • We will take responsibility for our actions and results, and we will follow through on commitments.

    • We will mutually establish, with our customers, realistic expectations of the benefits and results of our services and the time required for completion.

  • Sustainability

    • We will encourage sustainable business practices and environmental responsibility, including compliance with relevant environmental laws and regulations.

    • We will apply good Environmental, Social and Governance (ESG) practices in our services and in our company. For further information refer to our Sustainability Policy.

4. COMPLIANCE WITH LAWS AND REGULATIONS
We will comply with all applicable laws, regulations, and industry standards, as well as the company’s internal policies and procedures.

 

5. CONFLICT OF INTEREST
We will report any conflict of interest per the below description to a DyCat Solutions director, in which they will come up with a suitable course of action.

Conflict of interest is a situation where a person's personal, professional, or financial interests may compromise or appear to compromise their judgment, objectivity, or loyalty to their employer, client, or organization. There are different types of conflict of interest, such as:

a) Personal interest conflict: This occurs when a person has a personal interest or relationship that may affect their ability to act in the best interest of their employer, client, or organization.
b) Current customer conflict: This occurs when a person owes a duty of loyalty to two or more current clients whose interests are adverse or potentially adverse.

c) Former customer conflict: This occurs when a person owes a duty of confidentiality to a former client whose interests are adverse or potentially adverse to a current or prospective client.

d) Conflict arising from duties owed to other persons: This occurs when a person owes a duty of care, fidelity, or honesty to a third party whose interests are adverse or potentially adverse to their employer, client, or organization

6. FAIR COMPETITION
We adhere to Fair Competition practices and ensure that the market remains robust, dynamic, and conducive to innovation.
We will comply with antitrust and competition laws.


7. ANTI-BRIBERY AND CORRUPTION
We will comply with all applicable laws and regulations governing anti-bribery and corruption. We will not engage in bribery, corruption, and other unethical practices in business dealings.


8. WORKPLACE SAFETY AND HEALTH
We will commit to providing a safe and healthy work environment for all employees, in compliance with applicable laws and regulations.

 

9. INTELLECTUAL PROPERTY AND COPYRIGHT
We will protect our company’s intellectual property and respect the intellectual property rights of others.


10. REPORTING AND ACCOUNTABILITY
We will report any ethical concerns or violations to a DyCat Solutions director, in which they will come up with a suitable course of action.

 

11. IMPLEMENTATION AND ENFORCEMENT
DyCat Solutions Directors will take immediate action in implementing and enforcing the code of ethics and address the consequences for non-compliance that could include employment or contractor suspension or termination.
